Reimagining the User Experience Associated with
Digital Video Advertising.
Agencies, investors or other entities with interests and relationships in the Video Advertising industry who may wish to be involved with UX ADNET, solely in an advisory capacity. This could also include organizations and providers already serving the Video Advertising market.
Consulting Partners may wish to offer guidance, or be willing to help with potential introductions for instance; based on their expertise and experience.
Compensation for such an arrangement, would be in the form of a percentage share of any future revenues shared with UX ADNET by the main Development Partner. This would apply to revenues including that generated from potential licensing opportunities. The details of any future compensation arrangement between UX ADNET and a Consulting Partner would be entirely dependent on how instrumental the relationship ultimately proved to be to final success.
We are prepared to take our time in finding a Development Partner. This partner would be an organization that shares our vision. A vision that is, where User values and expectations are seen not just as important considerations to Adtech design, but essential. A partner able to see the potential value in creating Adtech that whilst serving its main purpose, also clearly demonstrates to Ad-sick users for instance , that they still matter; that their concerns are being addressed.
Whether or not this is an organization introduced to UX ADNET by a consulting partner, the organization is likely to be cognizant of the growing importance of User Experience to the connected ecosystem in which we live; that sees the value in addressing user concerns as an opportunity to differentiate.
We see User Experience (UX) as being fundamental to the creation of effective Advertising Solutions or systems- that offer a better fit with the evolving needs and expectations of users. To be clear when we talk about UX- we are more concerned with overall process improvements, as opposed to for instance front-end design or interface considerations specifically.
So our partner will have the skills, resources and of course interest in taking our CASPAD UX Adtech concept potentially through development and onto commercialization; as their own product/solution. Our role is simply to provide the underlying concept- a concept that could potentially serve as the basis to create a range of Adtech solutions, over a variety of different channels. This could even extend to the creation of new Data Management/ Advertising or Adserving Platforms for instance; again dependent on the potential partner concerned.
The partner should be associated with one or more of the following areas: Digital Video Advertising delivery solutions, Data Management Platforms, Adtech, Ad Serving or Ad Platforms Solutions, Ad Networks or Ad Mediation services, Publishing /Advertising Platforms ideally with, or with access to a significant user/customer base.
After considering the wide scope of possibilities the concept could offer, it is conceivable that a potential partner may wish to involve one or more of its existing partners. In this eventuality, it will be necessary for the new partner to also sign an NDA (Non-Disclosure Agreement) which we will provide. However for reasons of simplicity we would continue solely under the original partnership agreement. I.e UX ADNET would have no direct relationship or agreement with the additional partner/s beyond of course the NDA itself.
In order to find an Industry partner who is ideal for us, we are initially looking for some high-level feedback on our CASPAD concept. This would ideally be both in terms of the likely viability/potential of the concept and also how a potential partner might envision the concept transitioning into a possible commercial solution or solutions. This is outlined further below.
Following receipt of duly authorised NDA's we would arrange to forward the Confidential Concept Overview pdf.
This would allow the potential partner to review the Concept and offer any initial feedback. This might extend of course more detailed feedback or thoughts too, over subsequent emails or perhaps video calls.
Initially we are looking for high-level feedback ideally both in terms of the likely viability/potential of the concept and also how a potential partner might envision the concept transitioning into a possible commercial solution or solutions.
This could include potential for scaling and integration between solutions for instance under an obviously yet to be defined framework. Extending potentially to consider a network of licensing partners developing their own customised solutions, built on the underlying technology.
As part of our discussions we would welcome details around the perceived potential to commercialize any product/solution resulting from the Concept. This might include the general methods by which the potential partner could envision monitoring and managing usage/revenue metrics of any potential system etc; a necessary consideration for us to also share in small way, the revenues created.
We will use any feedback to help inform our decision making process-on finding an ideal partner.
In respect of our NDA we have to make clear that whilst this is the document of choice for us to have signed on file- we also appreciate many organizations that we would like to attract as potential partners may be unwilling to sign NDA agreements as a matter of policy.
In this event.. we would be prepared for the potential partner concerned to suggest possible work arounds to signing our NDA-that may offer an acceptable level of assurance to us prior to sharing our confidential information. We would then consider the same and advise accordingly.
The above said if we feel a potential partner might not have the capacity or range of resources that might be needed..to create an effective solution/s, we may decide not to begin the process of sending out an NDA- in which case we will let the potential partner know.
Whoa there!..Of course it is impossible to define any specific details- in principle however we would transfer ownership of our concept to the partner in return for a nominal share of ongoing revenues from any commercialized solution/s created. This would likely be in the range of 2% -5% depending on the partner, and the potential involved.
Continuing on that theme, obviously at this stage it is largely irrelevant to even discuss revenue sharing- since there is no indication of what that revenue might be..or how it might be created. Yet in principle we are open to an arrangement of this kind, once and if matters have progressed appropriately.
It is also possible of course that once things progress to the point of commercialization a potential partner might prefer to employ an alternative financial compensation mechanism as opposed to a revenue sharing agreement. These are obviously discussions for much later of course.
We should also add, that any revenue share, or other variable would extend also to any eventuality where the solution/s concerned were sold on to a third party.
As part of any future partnership agreement -we will need to ensure that the partners' vision for the concepts' potential development has clear deliverables that can be communicated to us.. to allow us to be kept up to speed on progress that is being made etc.
The substance of any final agreement would ensure the rights both of the partner and ourselves were accounted for and protected.
Further discussion on any partnership agreement to follow in due course once expectations of both parties have been more clearly established- an agreement can then be tailored specifically to mutual needs.
On this point- it is possible that we would be happy for the partner organization to craft the partnership agreement if preferred (or even necessary) assuming our needs are accounted for as part of the same.
